Terms and Conditions
1. Agreement to These Terms
These Terms and Conditions (the “Terms”) are a binding agreement between you and NonOrdinary, a Massachusetts limited liability company, doing business as Alive Edges (“Alive Edges,” “we,” “us,” or “our”).
These Terms govern your access to and use of aliveedges.com and any related websites, member areas, memberships, programs, trainings, events, calls, recordings, communications, practices, and content that we provide (together, the “Services”).
By clicking to accept these Terms, creating an account, making a purchase, joining a membership or program, or using the Services, you agree to these Terms. If you do not agree, do not purchase or use the Services.
The following policies are incorporated into these Terms by reference:
- our Refund & Cancellation Policy;
- our Privacy Policy; and
- if you participate in our affiliate program, our Affiliate Terms.
We may also require you to agree to a separate participant agreement, informed-consent form, release, licensing agreement, facilitator agreement, or other program-specific terms for particular Services. If a program-specific agreement expressly conflicts with these Terms, the program-specific agreement controls for that Service.
If another incorporated policy conflicts with these Terms, these Terms control unless that policy expressly states otherwise or gives you additional rights.
Please read Section 13 carefully. It explains how disputes between you and Alive Edges will be handled.
2. Eligibility and Accounts
2.1 Age. You must be at least 18 years old to create an account, make a purchase, or participate in the Services. By doing so, you confirm that you are at least 18.
2.2 Accurate information. You agree to provide accurate and complete information when you register or make a purchase, and to update your email address and payment method promptly when they change.
2.3 One person per account. Your account and membership are personal to you. Unless we expressly permit otherwise, you may not share your login credentials, provide another person with access to member-only areas or content, or transfer your account or membership. You are responsible for activity conducted through your account and for keeping your login credentials secure. If you believe your account has been accessed without permission, contact us promptly at [email protected].
2.4 Electronic communications. You agree that we may provide notices, receipts, account information, renewal information, policy updates, and other communications relating to the Services electronically, including by email or through the Services. These electronic communications satisfy any requirement that such communications be provided in writing, to the extent permitted by law. This section does not by itself constitute consent to receive marketing communications where separate consent is required by law.
3. Memberships, Billing, Renewal, and Cancellation
3.1 Automatic renewal. Some Services are offered as automatically renewing memberships or subscriptions. Before you purchase an automatically renewing Service, we will disclose the applicable price, billing frequency, automatic-renewal terms, and method of cancellation. By purchasing an automatically renewing membership or subscription, you authorize Alive Edges and our payment processor to charge the payment method you provide at the price and billing frequency disclosed at checkout, plus applicable taxes. Your membership or subscription will continue to renew automatically and you will continue to be charged until you cancel it, unless otherwise stated at checkout. We may use third-party payment processors, including Stripe, to process payments.
3.2 Renewal and billing notices. We will provide confirmations, renewal notices, recurring-charge notices, or other billing communications as required by applicable law. You are responsible for keeping your email address and payment information current so that you can receive these notices.
3.3 How to cancel. You may cancel an automatically renewing membership or subscription at any time through the cancellation mechanism provided in your account, including the Subscriptions area available in your profile. Cancellation stops future renewal charges. Unless otherwise stated for a particular Service, you will continue to have access through the end of the billing period you have already paid for. We cannot guarantee that you will have access to your content if you cancel and sign up again. If the online cancellation mechanism is unavailable or not functioning, contact [email protected] for assistance. We will not intentionally make cancellation materially more difficult than enrollment. If you later wish to return after cancellation, you may enroll again subject to availability and the pricing and terms then in effect.
3.4 Pausing. If your membership includes a pause option, you may pause your membership through the method provided in your account. Unless otherwise stated:
- pausing stops future recurring charges;
- you retain access through the end of your current paid billing period;
- you retain your tracking and posts history;
- access then stops while the membership is paused; and
- billing resumes when you reactivate the membership.
3.5 Refunds. Refunds are governed by our Refund & Cancellation Policy. Unless that policy states otherwise, you may request a full refund of your first membership payment, or of a product purchase, within 14 days of purchase. Renewal payments are generally non-refundable, and we generally do not provide partial refunds for unused portions of a billing period, except where required by applicable law or expressly provided in our Refund & Cancellation Policy. Nothing in these Terms limits any cancellation, withdrawal, cooling-off, refund, or other consumer right that cannot lawfully be waived. Where applicable law requires additional disclosures or separate consent before we begin providing digital content or services during a statutory cancellation period, we will provide those disclosures or request that consent separately.
3.6 Founding memberships and lifetime access. Certain founding memberships may include special benefits described at the time of purchase, such as a founder designation, special pricing, or continuing access to specified programs such as One Skill a Day. Unless the offer states otherwise, founding benefits that are expressly described as continuing after cancellation will continue after the recurring membership itself is cancelled. They end if the qualifying founding membership purchase is refunded, successfully charged back, rescinded, or determined to have been obtained fraudulently.
For purposes of these Terms, “lifetime access” means continuing access for as long as Alive Edges continues to operate and make the applicable program or a substantially equivalent successor available. Lifetime access does not guarantee that a particular website, technology platform, facilitator, delivery method, schedule, feature, or format will remain unchanged indefinitely. We may migrate lifetime-access content to another platform or alter its format without ending the underlying access right. If we permanently discontinue a lifetime-access program without offering a substantially equivalent successor, our obligation to provide future access to that discontinued program ends.
3.7 Price changes. We may change the price of an automatically renewing membership or subscription. If a price change will apply to an existing membership, we will provide at least 30 days’ advance notice. The new price will apply only to future billing periods after the effective date stated in the notice. You may cancel before the new price takes effect.
3.8 Failed payments. If a payment fails, we or our payment processor may retry the payment and may notify you that your payment method needs to be updated. If we are unable to collect payment when due, we may restrict, suspend, or terminate access to the applicable Services.
3.9 Charge disputes and chargebacks. If you believe we charged you incorrectly, we encourage you to contact [email protected] so that we can investigate and attempt to resolve the issue. If you dispute a charge through your bank or payment provider, we may temporarily suspend access relating to the disputed payment while the dispute is pending. Nothing in this section limits any right you may have under applicable law to dispute a charge with your bank, card issuer, or payment provider.
3.10 Changes to membership offerings. Alive Edges is an evolving training and membership environment. We may change individual facilitators, instructors, schedules, calls, trainings, curriculum, technology platforms, delivery formats, features, program names, and individual offerings over time. Unless expressly guaranteed as part of your purchase, participation does not entitle you to any particular facilitator, event, schedule, platform, feature, or individual piece of content indefinitely. We will not intentionally make a material reduction to the overall core offering of a paid membership without reasonable notice.
3.11 Additional offerings. From time to time we may offer additional sessions, programs, or benefits to some members, such as founding members or a training cohort, at our discretion. These are extras beyond what your membership includes, and not being offered one is not grounds for a refund.
4. Community Standards
Alive Edges is designed to support honest exploration, learning, experimentation, and meaningful human interaction. When participating in calls, member spaces, discussions, messages, events, or other parts of the Services, you agree to treat others with respect, ask rather than assume, accept a “No” the first time, and respect each person’s right to choose their own level of participation.
You agree not to:
- harass, threaten, intimidate, stalk, or demean another person;
- discriminate against another person or use hateful or abusive language;
- make sexual advances, sexual comments, or sexual contact that the other person has not clearly welcomed;
- pressure, manipulate, shame, or coerce someone to disclose information, participate in an exercise, engage with you, or go further than they choose;
- retaliate against someone for setting a boundary, declining participation, making a complaint, or reporting a concern;
- contact members outside the Services in ways they have not agreed to;
- use member information to sell, solicit, recruit, promote, fundraise, or market without permission;
- impersonate another person or misrepresent your identity, qualifications, affiliations, or intentions;
- post or distribute unlawful, fraudulent, defamatory, or infringing material;
- upload malicious software, viruses, or harmful code;
- scrape, harvest, systematically extract, or interfere with the Services or their operation; or
- use the Services in a way that places another participant or Alive Edges at unreasonable risk.
A pitch-free community. Alive Edges is a place to grow, not a marketplace. Unless we approve it in advance, you agree not to promote, pitch, or sell your own or anyone else’s products, services, programs, or events to other members, whether inside the Services or by contacting members you met here. This includes inviting members into your own groups, communities, or events, or starting outside groups for Alive Edges members.
We may remove content or take action under Section 10 if we reasonably believe these standards have been violated. Alive Edges is not required to monitor every interaction between members and cannot guarantee the conduct of other participants.
We may also post community guidelines or house rules for particular spaces, calls, or groups, and update them from time to time. Those guidelines are part of these Terms.
5. Confidentiality and Member Privacy
5.1 Member confidentiality obligation. Personal information that another participant shares about their own life in a non-public Alive Edges call, group, discussion, message, exercise, or member space should be treated as confidential. You agree not to record, screenshot, reproduce, publish, disclose, or share another member’s personal information outside the Services in a way that identifies that person without their permission. This obligation continues after your participation or membership ends. This confidentiality obligation does not apply to information that:
- the person has already made public;
- becomes public through no violation of these Terms;
- the person gives you permission to disclose; or
- is not reasonably identifiable as relating to a particular participant.
5.2 Important exceptions. Nothing in these Terms prevents you from making a disclosure that is reasonably necessary to:
- report misconduct, harassment, abuse, threats, or a violation of these Terms to Alive Edges;
- seek medical, psychological, legal, or other professional assistance;
- protect yourself or another person from a reasonably perceived risk of harm;
- make a report to law enforcement, emergency services, a regulatory authority, or another appropriate authority;
- comply with applicable law, a subpoena, court order, or other lawful legal process; or
- exercise a legal right or participate in a legal proceeding.
Where reasonably possible, you should limit such disclosure to information necessary for that purpose.
5.3 No guarantee of confidentiality. We require members to honor these confidentiality standards, but we cannot guarantee that every participant will comply. Do not share information that you are unwilling to have heard by other participants in the setting in which you share it. Participation in Alive Edges does not create therapist-client, doctor-patient, attorney-client, clergy-penitent, or other legally privileged confidentiality unless a separate professional relationship independently creates such a privilege.
6. Recordings
6.1 Sessions are recorded by default. Unless a session’s listing states that it will not be recorded, you should assume every session is being recorded. Recorded sessions will be announced as recorded at the start, and the meeting platform will also show when recording is on. Untangling sessions are not recorded.
6.2 Who can see recordings. Recordings are made available to members. If a recording will also be shared publicly, the session’s listing will say so. We will not use identifiable clips from a members-only recording in public advertising or promotion without your permission.
6.3 Your agreement and our basis for recording. By joining or remaining in any session that is not listed as unrecorded, you agree to being recorded and to the recording being used as described in this section and in the session’s listing, including public sharing where the listing states it. Where data-protection law applies, we record sessions on the basis of our legitimate interest in providing replays to members, as explained in our Privacy Policy. A recording may include your display name, image, voice, statements, questions, written chat contributions, and other participation. You grant Alive Edges a non-exclusive, worldwide, royalty-free, perpetual license to record, host, reproduce, edit, archive, and distribute those recordings as described, with no payment owed to you. If you do not want to be recorded, do not join the session, or leave it. Please keep sensitive personal matters, such as health, sexuality, or trauma, for unrecorded sessions such as Untangling sessions.
6.4 Controlling your visibility. If you want to limit your appearance in a recording, you may, where the platform allows:
- keep your camera off;
- use a first name or permitted display name;
- refrain from speaking during the recorded portion; and
- avoid posting personal information in chats that may be captured or preserved.
Turning off your camera does not prevent your voice, display name, or written contributions from being recorded if you otherwise participate. Do not assume that private-message functions provided by third-party platforms are confidential from the platform provider.
6.5 No participant recording. You may not record, photograph, screenshot, livestream, transcribe, or use an AI note-taking, transcription, or recording service to capture any Alive Edges session unless Alive Edges gives prior written permission and any additional consent required by law has been obtained.
6.6 Objections. If you object to a recording in which you appear, write to [email protected]. We will consider your request in line with applicable law.
7. Intellectual Property
7.1 Alive Edges content. Alive Edges’ proprietary materials include, among other things:
- the Four Foundations™, also known as the Four Forces™;
- Alive Edges frameworks, maps, models, terminology, and curriculum;
- trainings and facilitator materials;
- recordings;
- written materials;
- exercises and structured practices;
- graphics and visual materials;
- worksheets and templates;
- website and member-platform content; and
- the selection, organization, expression, and presentation of these materials.
Together, these are referred to as “Our Content.” Our Content is owned by Alive Edges or our licensors and may be protected by copyright, trademark, trade-secret, contract, and other applicable laws. All rights not expressly granted in these Terms are reserved.
7.2 Using what you learn. We want you to use what you learn. You may apply the insights, skills, and practices you learn through Alive Edges in your personal life and in your own work, including in your own one-on-one sessions with your own clients, as long as you do not do any of the things listed in Section 7.4. You may also mention and recommend Alive Edges and quote short passages with credit to Alive Edges. In short: using what you learned is welcome; delivering our programs to others requires our permission.
7.3 License to access Our Content. For content included with an active membership, we grant you a limited, personal, non-exclusive, non-transferable license to access and use that content for your own learning and development while your membership remains active. That license ends when your membership ends, except for content expressly sold or granted with continuing, permanent, or lifetime access under the terms of your purchase. For content with continuing or lifetime access, your personal-use license continues for as long as your access right under Section 3.6 continues, subject to these Terms.
7.4 Restrictions. Unless we give you written permission, you may not:
- teach, facilitate, or coach others in the Four Foundations or any other Alive Edges framework, practice, or curriculum, whether by name or in substantially the same form, through workshops, groups, classes, courses, trainings, retreats, or programs, whether paid or free;
- describe your own work, services, or methods as based on the Four Foundations, the Four Forces, or Alive Edges;
- give, show, or adapt our worksheets, recordings, written materials, or exercises for use with your clients or anyone else;
- present yourself as an Alive Edges facilitator, trainer, teacher, licensee, representative, or certified practitioner unless we have expressly authorized you to do so;
- reproduce, distribute, sell, sublicense, publish, or publicly share Our Content, except for short credited quotations as allowed in Section 7.2;
- create or sell materials that reproduce or adapt Our Content, or that serve as a substitute for an Alive Edges program;
- remove copyright, trademark, attribution, or proprietary notices;
- use Alive Edges’ names, logos, trademarks, program names, or branding in a way that falsely suggests sponsorship, endorsement, certification, affiliation, or authorization;
- use Our Content to train, fine-tune, develop, or build an artificial-intelligence or machine-learning model, or upload it into a dataset for that purpose; or
- use automated tools to systematically extract or reproduce Our Content.
Permission to teach, facilitate, or coach using Our Content is given only in writing, such as through a facilitator agreement for graduates of our facilitator training, and only to the extent that agreement states. These restrictions continue after your membership ends. If you would like to use Alive Edges materials beyond the permissions above, contact us to discuss licensing or facilitator training.
7.5 Your Content. You retain ownership of original material you post or contribute to the Services (“Your Content”). By posting Your Content within the Services, you grant Alive Edges a non-exclusive, royalty-free license to host, store, display, reproduce, and technically process Your Content as reasonably necessary to operate the Services and make it available to the participants for whom you posted it. Except for recordings governed by Section 6 or where you separately give permission, we will not use your identifiable personal content outside the Services for advertising or promotional purposes without your consent. You confirm that you have the right to post Your Content and that doing so does not violate another person’s rights.
7.6 Feedback. If you voluntarily provide ideas, suggestions, recommendations, or feedback about the Services, we may use that feedback to improve, develop, or operate Alive Edges without payment or other obligation to you. This provision does not transfer ownership of unrelated intellectual property you independently own.
7.7 Copyright complaints. Alive Edges respects intellectual-property rights. If you believe user-posted content available through the Services infringes your copyright, you may send a written notice to [email protected], containing:
- identification of the copyrighted work claimed to have been infringed;
- identification of the material claimed to be infringing and information reasonably sufficient for us to locate it;
- your name and contact information;
- a statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or law;
- a statement that the information in your notice is accurate and, under penalty of perjury, that you are authorized to act for the copyright owner; and
- your physical or electronic signature.
Where applicable, we may remove or disable access to allegedly infringing material and notify the user who posted it. A user whose material is removed may submit a legally sufficient counter-notification under applicable copyright law. We may terminate accounts of repeat copyright infringers where appropriate.
8. Educational Services, Wellbeing, and Participation
8.1 Education and personal development. Alive Edges provides education, facilitated exploration, community interaction, and personal and professional development practices. Unless we expressly state otherwise in a separate written agreement, the Services are not psychotherapy, counseling, psychiatric treatment, medical care, diagnosis, legal advice, financial advice, or another licensed professional service. Participation does not create a therapist-client, physician-patient, attorney-client, or other licensed professional relationship with Alive Edges or its facilitators.
8.2 Your wellbeing and judgment. You are responsible for deciding whether a particular activity is appropriate for you. If you have a physical or mental health condition, are pregnant, use medication that may affect participation, have concerns about a practice, or are uncertain whether an activity is appropriate for you, consult an appropriate qualified healthcare professional before participating. Continue to work with your existing healthcare providers as appropriate. If you are working with a therapist or other mental health professional, please let them know you are taking part in Alive Edges. If you are experiencing a medical or psychological emergency or crisis, seek appropriate emergency or professional assistance. Alive Edges is not an emergency service.
8.3 Emotional and embodied practices. Some Alive Edges activities may involve emotional exploration, interpersonal exercises, breathwork, movement, altered or expanded states of awareness, attention practices, relational practices, or other embodied experiences. These activities may produce physical sensations, emotional responses, unexpected memories, discomfort, or other effects and may not be appropriate for everyone. Participation is voluntary. You decide whether and how deeply to participate in any exercise. You may decline, modify, pause, step back from, or leave an activity at any time. By voluntarily participating, you acknowledge that these activities involve inherent and sometimes unpredictable risks and accept those ordinary risks to the extent permitted by law. Nothing in these Terms requires you to participate in any particular exercise or to override your own judgment, boundaries, or wellbeing.
8.4 Additional participant agreements. For certain activities, programs, retreats, in-person events, intensive trainings, breathwork sessions, or other Services, we may require a separate health disclosure, informed-consent form, participant agreement, or assumption-of-risk agreement before participation.
8.5 No guaranteed results. Learning, personal development, relationships, business outcomes, wellbeing, and personal change differ from person to person. We do not guarantee that participating in Alive Edges will produce any particular personal, professional, financial, relational, health, spiritual, or other result.
9. Privacy and Third-Party Services
9.1 Privacy. Our Privacy Policy explains how we collect, use, disclose, and protect personal information. By using the Services, you acknowledge our Privacy Policy. Where applicable law requires consent for a specific use of information, we will seek that consent separately.
9.2 Third-party services. Alive Edges relies on third-party services that may include payment processors, website and community platforms, email providers, video-conferencing platforms, hosting providers, analytics tools, and other technology services. Your use of those services may also be governed by the third party’s own terms and privacy practices. To the extent permitted by law, we are not responsible for the independent acts, omissions, outages, security failures, policy changes, or services of third parties that we do not control.
9.3 External links. The Services may contain links to websites, products, services, or resources operated by third parties. A link does not necessarily mean that Alive Edges endorses or controls the third party. Use third-party resources at your own discretion.
9.4 Affiliate program. Participation in an Alive Edges affiliate or referral program is governed by separate Affiliate Terms provided when you join that program.
9.5 Online communication. Email, video calls, messaging, and other online communication always carry some risk of interception or unauthorized access by third parties we do not control. We take reasonable steps to protect the Services, but we cannot guarantee the security of information sent online.
10. Suspension and Termination
10.1 By you. You may end an automatically renewing membership by cancelling as described in Section 3.
10.2 By us. We may take reasonable action including issuing a warning, removing content, limiting participation, restricting particular features, suspending an account, removing someone from an event, or terminating membership if we reasonably believe that:
- you have materially violated these Terms;
- you have seriously or repeatedly violated the Community Standards;
- your conduct creates a material safety, legal, privacy, intellectual-property, or operational risk;
- payment remains unpaid;
- you have fraudulently used the Services; or
- continued participation would materially interfere with our ability to operate the Services or provide a reasonably safe environment for others.
Where circumstances reasonably allow, we will tell you the basis for the action and may give you an opportunity to respond. We may act immediately where we reasonably believe prompt action is necessary to protect participants, protect Alive Edges, comply with law, address fraud or security concerns, or prevent serious disruption.
10.3 Effect of termination. When access to a membership ends, your license to membership content ends except for content for which you have a separate continuing or lifetime-access right. If we terminate your membership because of a material violation of these Terms, a refund is not owed except where required by law. If we permanently terminate a paid membership for reasons unrelated to your violation of these Terms, we may either allow access through the remainder of the paid billing period or refund the unused portion of that billing period, as appropriate.
10.4 Survival. Sections 5, 6, 7, 8, 11, 12, 13, and 15, together with any other provisions that by their nature should continue after termination, survive the end of your account, membership, or participation.
11. Disclaimers and Limitation of Liability
11.1 Disclaimer of warranties. TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ALIVE EDGES DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT TO THE EXTENT THOSE WARRANTIES MAY LAWFULLY BE DISCLAIMED. WE DO NOT GUARANTEE THAT THE SERVICES WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPATIBLE WITH EVERY DEVICE OR THIRD-PARTY PLATFORM.
11.2 Limitation of liability. TO THE FULLEST EXTENT PERMITTED BY LAW, ALIVE EDGES AND ITS OWNERS, OFFICERS, EMPLOYEES, FACILITATORS, INSTRUCTORS, AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS. TO THE FULLEST EXTENT PERMITTED BY LAW, ALIVE EDGES’ TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID ALIVE EDGES DURING THE THREE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11.3 Rights that cannot be waived. Some jurisdictions do not permit certain exclusions or limitations of warranties or liability. Nothing in these Terms excludes, limits, or waives liability or rights that cannot legally be excluded, limited, or waived, including applicable rights under the Massachusetts Consumer Protection Act, M.G.L. c. 93A. Nothing in these Terms limits liability for fraud, willful misconduct, gross negligence, or other liability that applicable law does not permit us to limit. If you live in a jurisdiction that provides mandatory consumer protections, including the European Union or United Kingdom where applicable, you retain those mandatory rights.
12. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Alive Edges and its owners, officers, employees, facilitators, instructors, and contractors from third-party claims, losses, liabilities, and reasonable legal expenses arising directly from:
- Your Content where it infringes or unlawfully violates another person’s rights;
- your intentional or unlawful misuse of the Services;
- fraud or intentional misconduct by you; or
- your material violation of Sections 4, 5, 6, or 7 of these Terms.
This section does not require you to indemnify Alive Edges for Alive Edges’ own negligence, misconduct, or legal violations to the extent such indemnification is prohibited by law.
13. Dispute Resolution and Governing Law
13.1 Informal resolution. If you have a dispute or concern relating to the Services, please contact [email protected] and describe the issue. You and Alive Edges agree to make a good-faith effort to resolve the matter informally for at least 30 days before beginning formal legal proceedings, unless immediate action is reasonably necessary to prevent harm, preserve legal rights, seek emergency or injunctive relief, or comply with a legal deadline.
13.2 Governing law. These Terms and disputes arising from them or the Services are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law principles. However, this choice of law does not deprive a consumer of mandatory protections provided by laws that cannot lawfully be waived in the consumer’s place of residence.
13.3 Courts and venue. Subject to any mandatory rights you have under applicable consumer law, legal proceedings relating to these Terms or the Services will be brought in the applicable state courts located in Hampden County, Massachusetts, or the United States District Court for the District of Massachusetts, as applicable. You and Alive Edges consent to personal jurisdiction in those courts. Either party may bring an individual claim in small claims court if the claim qualifies. Alive Edges may seek temporary, emergency, or injunctive relief in a court of competent jurisdiction when reasonably necessary to address misuse of intellectual property, confidential information, security threats, fraud, or other conduct for which monetary damages would not provide an adequate remedy. If applicable mandatory consumer law gives you a right to bring proceedings in the courts of your home jurisdiction, nothing in these Terms takes that right away.
13.4 Time limit for claims. To the extent permitted by law, any claim arising out of or relating to these Terms or the Services must be brought within one year after the claim arises, or it is permanently barred.
14. Changes to These Terms
We may update these Terms from time to time to reflect changes to the Services, our practices, technology, law, or business operations. We will post updated Terms with a revised “Last updated” date. If a change materially affects the rights or obligations of existing paid members, we will provide reasonable advance notice, generally at least 30 days when practicable. Where applicable law requires affirmative consent to a change, we will request that consent. Otherwise, continuing to use the Services after an updated version takes effect constitutes acceptance of the updated Terms to the extent permitted by law. Changes to membership prices are governed by Section 3.7.
15. General Terms
15.1 Entire agreement. These Terms, together with policies and program-specific agreements incorporated into them, constitute the agreement between you and Alive Edges regarding the Services covered by them and supersede earlier agreements on the same subject.
15.2 Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed as appropriate, and the remaining provisions will remain in effect.
15.3 No waiver. A failure or delay by either party in enforcing a provision of these Terms does not waive the right to enforce that provision later.
15.4 Assignment. You may not transfer your account or your contractual rights or obligations under these Terms without our written permission. Alive Edges may assign these Terms in connection with a merger, acquisition, sale, restructuring, transfer of substantially all relevant assets, or similar business transaction, provided that the assignment does not eliminate non-waivable rights you have under applicable law.
15.5 Events beyond reasonable control. Alive Edges is not responsible for delay, interruption, cancellation, or failure to perform caused by circumstances reasonably outside our control, including internet or utility failures, third-party platform outages, natural disasters, severe weather, public emergencies, government actions, labor disruptions, significant illness or incapacity, or similar events. Where reasonably possible, we will attempt to reschedule, substitute, or otherwise address materially affected paid Services.
15.6 No partnership or agency. Participation in Alive Edges does not create a partnership, employment relationship, joint venture, fiduciary relationship, franchise, agency relationship, or authority for you to act on behalf of Alive Edges.
15.7 Headings. Headings are provided for convenience and do not change the meaning of these Terms.
16. Additional Terms for EU/EEA and UK Consumers
16.1 When this section applies. This section applies where you are acting as a consumer, rather than for purposes primarily related to your trade, business, craft, or profession, and the mandatory consumer law of the European Union, the European Economic Area, the United Kingdom, or one of their member countries applies to your purchase. If this section conflicts with another part of these Terms, this section controls to the extent necessary to protect a mandatory consumer right.
16.2 Your mandatory rights. Nothing in these Terms waives or reduces any consumer right that applicable law does not permit you to waive, including rights concerning pre-contract information, pricing, automatic renewal, withdrawal, refunds, the conformity of digital content and services, unfair contract terms, data protection, and access to courts. The limitation-of-liability, indemnification, governing-law, and venue provisions in Sections 11, 12, and 13 apply to you only to the extent your mandatory consumer law allows.
16.3 Right of withdrawal. You have 14 days from the date you first join to withdraw from your membership contract without giving a reason. Our 14-day full refund of your first membership payment meets or exceeds this statutory right. To withdraw, send a clear statement that you wish to withdraw to [email protected]. You may use the model withdrawal form below, but you do not have to. We will refund you without undue delay, using the same payment method you used, with no refund fee. If your country’s law gives you a longer withdrawal period or additional rights, those rights apply.
16.4 Changes to ongoing digital services. Where your membership qualifies as a digital service under mandatory European or UK consumer law, we will change it only as that law permits. If a change more than minimally reduces your access to or use of the Services, we will tell you clearly in advance, by email, including any right you have to end your membership because of the change.
16.5 Data protection. If the EU GDPR, the UK GDPR, or another applicable data-protection law applies to you, you keep all of the rights it gives you, including the right to object to processing based on our legitimate interests, such as recordings. Our Privacy Policy explains these rights and how to use them.
